SECTION 2 – WHOLESALE USE & RESTRICTIONS
All products purchased from SONG OF SKIN B2B are subject to the following:
A. MSRP Compliance
Buyers must adhere to our published Manufacturer’s Suggested Retail Price (MSRP).
Discounting may not exceed 20% below MSRP without prior written approval.
B. Amazon & Marketplace Restrictions
Sale of our products on:

-Walmart Marketplace
-eBay
-TikTok Shop
-Any third-party online marketplace
is strictly prohibited unless expressly authorized in writing.
Violation may result in:
-Immediate account termination
-Revocation of wholesale privileges
-Legal action for damages
C. No Redistribution
Products may not be resold to:
-Other wholesalers
-Distributors
-Exporters
-Unapproved retailers
without written consent.
SECTION 3 – PRODUCTS & AVAILABILITY
All product descriptions, pricing, and availability are subject to change without notice.
We reserve the right to:
-Limit quantities
-Discontinue products
-Refuse sales to any entity
Product appearance may vary due to packaging updates or manufacturer revisions.
SECTION 4 – ORDERS & ACCEPTANCE
Submitting an order constitutes an offer to purchase.
An order is not accepted until:
-Payment is received and processed
-We confirm acceptance
We reserve the right to cancel or modify orders at our discretion.
Wholesale orders are final unless otherwise agreed in writing.

Payment must be made via approved methods (ACH, wire transfer, or other authorized method).
Failure to complete payment may result in order cancellation and account suspension.

Delivery dates are estimates only.
Once products are transferred to the carrier:
-Title and risk of loss pass to Buyer
-We are not liable for shipping delays or customs holds
International buyers are responsible for:
-Customs clearance

-Taxes
-Import compliance
SECTION 7 – INTELLECTUAL PROPERTY
All content on the Services—including branding, product images, text, and graphics—is owned by SONG OF SKIN B2B or its licensors.
You may use product images solely for resale marketing of authorized products.
You may not:

-Remove trademarks
-Create derivative branding
-Misrepresent affiliation
Unauthorized use may result in legal action.
SECTION 8 – RELATIONSHIP WITH SHOPIFY
SONG OF SKIN B2B is powered by Shopify.
However, Shopify is not a party to any sales agreement between you and SONG OF SKIN B2B.
You expressly release Shopify from any claims related to purchases from our store.

-Payment defaults
-Policy breaches
Termination does not relieve you of outstanding payment obligations.

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
Any disputes shall be resolved exclusively in the courts located in New York.
SECTION 14 – CHANGES TO TERMS
We may update these Terms at any time.
Continued use of the Services after updates constitutes acceptance.
